1. GENERAL PROVISIONS
1.1 Scope of Application
These General Terms and Conditions ("GTC") apply to all contracts of sale and orders concluded through AurDvin's online shop or by any other means between AurDvin GmbH (hereinafter "AurDvin" or "Seller") and its customers (hereinafter "customer"), in respect of the sale of wines, spirits, alcoholic and non-alcoholic beverages, foodstuffs, delicacies, accessories and related products and services, including events and tastings.
1.2 Exclusion of Customer's Own Terms and Conditions
The customer expressly waives its own general terms and conditions, even where those were drafted after these GTC. Any deviation from these GTC requires a prior express written agreement in order to be valid.
1.3 Applicable Version
The version of these GTC in force at the time of the order governs the respective contract.
1.4 Consumers and Business Customers
A consumer is a natural person who concludes the contract for purposes that cannot be attributed to that person's professional or commercial activity. A business customer ("B2B customer") is any other customer, in particular customers from the hospitality trade, commercial and corporate customers and resellers who order for commercial purposes. For business customers, the B2B special rules highlighted in bold throughout these GTC apply in addition and take precedence over the general provisions. Where a B2B special rule exists, the corresponding general (consumer-protective) provision does not apply to business customers.
2. OFFER AND FORMATION OF CONTRACT
2.1 Product Presentation
The presentation of products in the online shop, in catalogues or in other advertising materials does not constitute a legally binding offer but an invitation to the customer to submit a binding order (in permissible departure from Art. 7 para. 3 of the Swiss Code of Obligations (CO)).
2.2 Order
By clicking the order button or submitting an order in writing, the customer places a binding order for the products listed on the order page.
2.3 Order Confirmation
The automated e-mail confirming receipt of an order does not constitute acceptance of the order. The contract of sale is concluded only when AurDvin confirms dispatch of the goods by e-mail (dispatch confirmation), or at the latest upon delivery of the goods.
2.4 Advance Payment
For orders requiring advance payment, the contract of sale is concluded upon AurDvin's confirmation of receipt of payment.
2.5 Obvious Errors
AurDvin reserves the right to correct obvious errors that are recognisable to the customer in respect of price, quantity or product information (in particular recognisable typographical or system errors), even after a dispatch or delivery confirmation, or to contest the contract on that basis (Art. 23 et seq. CO). In the event of an obvious pricing error, AurDvin is not obliged to deliver at the incorrect price. Any payments already made for goods not delivered in such a case will be refunded promptly. Claims for damages by the customer arising from the correction or contestation of obvious errors and typographical mistakes are excluded.
2.6 Quantity Restrictions and Original Packaging
AurDvin reserves the right to restrict order quantities to household quantities and to deliver only in original packaging. This serves in particular the fair allocation of scarce and cellared wines and the prevention of resale.
3. PRICES AND PAYMENT
3.1 Prices
All prices are stated in Swiss francs (CHF) and include Swiss value added tax (VAT) and any applicable excise duties (e.g. spirits duty). For goods sold by volume (wine, spirits), the unit price (price per litre or per 100 ml) is additionally stated in accordance with the Price Disclosure Ordinance (PBV). Transport and shipping costs are shown separately and are not included in the stated product prices unless expressly stated otherwise.
3.2 Price Validity
The prices published at the time of the order apply. AurDvin reserves the right to make changes to the product range, vintages, prices and terms. Corrections of obvious errors and printing mistakes remain reserved (see section 2.5).
3.3 Payment Terms
Invoices are payable within 30 days net of the invoice date unless otherwise stated. AurDvin accepts the following payment methods:

3.4 Default and Default Interest
Invoices are due for payment within 30 days of the invoice date. Upon expiry of this period the customer is in default without further reminder (Art. 102 para. 2 CO) and owes default interest at the rate of 5% per annum (Art. 104 CO). For each reminder sent, AurDvin may charge a reminder fee of CHF 20.00 as a reimbursement of costs incurred. In the event of qualified payment default, AurDvin is entitled, following a prior reminder and the setting of a reasonable grace period, to declare all outstanding amounts immediately due and payable at its discretion, to suspend further deliveries or to withdraw from the contract; goods for which payment has not yet been made may be withheld by AurDvin, and paid orders already placed remain unaffected. B2B special rule: In relation to business customers, the higher of 5% or the customary bank default interest rate additionally applies (Art. 104 para. 3 CO).
3.5 Collection Costs and Assignment
If payment remains outstanding after a reminder, AurDvin may invoice the necessary collection costs actually incurred to the extent permitted by law and subject to evidence thereof. A lump-sum reimbursement of legal or solicitor's costs is not made. AurDvin reserves the right to assign outstanding invoice amounts, including accrued default interest, reminder fees and collection costs, to a third party engaged for collection purposes.
3.6 Retention of Title
The goods remain the property of AurDvin until payment in full. The customer is aware that, under Swiss law, a retention of title only becomes effective against third parties upon entry in the retention of title register at the customer's place of domicile (Art. 715 of the Swiss Civil Code (CC)); AurDvin reserves the right to effect such entry. No retention of title exists in respect of orders paid in advance.
3.7 Set-Off and Right of Retention
The customer is entitled to set off only counterclaims that have been acknowledged by AurDvin or established by final court judgment. B2B special rule: Business customers are furthermore not entitled to exercise a right of retention unless it is based on the same contractual relationship.
3.8 International Payments
If a customer is invoiced from abroad, certain countries may, in accordance with their domestic legislation, levy a withholding tax. Any such withholding tax is to be borne by the customer and remitted to the competent tax authorities; the full invoice amount is owed to AurDvin without deduction. AurDvin bears no costs in connection with the tax legislation of any foreign state.
3.9 Payment Method and Creditworthiness Reservation
AurDvin reserves the right to not offer individual payment methods (in particular purchase on account) without giving reasons, or to make them conditional on advance payment, in particular where a negative creditworthiness assessment is obtained (cf. section 15.2). There is no entitlement to any particular payment method.
4. AGE RESTRICTIONS AND PROTECTION OF MINORS
4.1 Statutory Requirements
Swiss law prohibits the sale of:

Spirits, aperitifs and alcopops to persons under the age of 18 (Art. 41 of the Alcohol Act (AlkG))

Wine, beer and cider to persons under the age of 16 (food law, Foodstuffs and Utility Articles Ordinance (LGV))
Stricter cantonal minimum age limits remain reserved.
4.2 Age Verification at the Time of Order
The customer confirms during the ordering process that they have reached the applicable minimum age. Purchases in the online shop are only permitted from the age of 18. AurDvin may request the customer to provide their date of birth or proof of age.
4.3 Age Verification upon Handover
Alcoholic products are handed over only upon presentation of a valid official identity document and confirmation of the minimum age. AurDvin and its logistics partners verify the age of the recipient upon delivery or collection; no drop-off or deposit without age verification takes place. If proof of age cannot be produced, handover is refused; any return shipping and handling costs arising as a result and the consequences of default in acceptance (section 5.7) are borne by the customer.
4.4 No Free Distribution of Spirits
The free distribution, bundling or inclusion of spirits as a bonus within the meaning of Art. 41 AlkG is excluded. The satisfaction guarantee (section 9) applies exclusively to wine and not to spirits.
5. DELIVERY
5.1 Delivery Area
AurDvin delivers exclusively within Switzerland and the Principality of Liechtenstein. Deliveries to other countries are not offered on account of customs and alcohol law regulations. A request for delivery abroad requires a separate written agreement.
5.2 Price Basis and Collection
The prices shown are collection prices. AurDvin operates no public sales or collection location; the address Hofwiesenstrasse 303, 8050 Zürich is the domicile and correspondence address of the registered office (no public warehouse, no public collection point). Collections are possible on request; the place and time of collection are agreed in writing on a case-by-case basis. If the customer fails to appear at the agreed collection time without having arranged an alternative time in good time, AurDvin is entitled to charge a processing fee of CHF 20.00 as liquidated flat-rate compensation; the customer remains free to prove that AurDvin suffered no loss or lesser loss (Art. 163 para. 3 CO). Delivery of small quantities at off-peak times is possible by prior arrangement. For home deliveries, transport costs are shown separately (sections 5.3 and 5.4).
5.3 Standard Delivery

If the order value falls below CHF 120.00 after deduction of a voucher, the standard delivery charge is levied.
5.4 Express Delivery
Express deliveries are made to most regions within approximately 48 hours on working days. Express delivery is not available for orders with more than 10 delivery addresses.
5.5 Non-Binding Nature of Delivery Periods
All stated delivery periods are non-binding indicative values. A fixed-date transaction requires an express written agreement. AurDvin is not in default in respect of delivery until expiry of a reasonable grace period set in writing by the customer.
5.6 Availability and Partial Delivery
Despite careful stock management, individual items may sell out faster than anticipated. AurDvin therefore gives no delivery guarantee; all deliveries are made subject to availability. AurDvin is entitled to make partial deliveries that are reasonable for the customer. If an ordered item is unavailable, AurDvin will inform the customer and promptly refund any amount already paid for the unavailable item. Beyond this refund, the customer has no entitlement to delivery (specific performance) or any claim for damages in the event of non-availability.
5.7 Default in Acceptance
If the customer fails to accept the goods or fails to accept them in good time (default in acceptance, Art. 91 et seq. CO), the customer bears the costs of storage, re-delivery and any spoilage of the goods. For goods that have been ordered but not collected or accepted within 30 days of the notification of readiness, AurDvin may charge a reasonable storage fee of CHF 1.00 per bottle per month. AurDvin may, after setting a reasonable grace period, withdraw from the contract and otherwise dispose of the goods. In the case of perishable or temperature-sensitive goods, AurDvin is entitled to immediately dispose of them otherwise if waiting would lead to spoilage.
5.8 Passing of Risk
In the case of collection, risk (of accidental loss or deterioration) passes to the customer upon handover. B2B special rule: In the case of dispatch to business customers, risk passes to the customer upon handover of the goods to the carrier (Art. 185 CO). In relation to consumers, AurDvin bears the risk of transport until delivery to the customer; the notification obligations pursuant to section 6 remain reserved.
5.9 Replacement Vintages
Unless expressly requested otherwise, AurDvin will, without prior enquiry, deliver the successor vintage of a wine that is no longer available, provided that the successor vintage is comparable in terms of grape variety, price and quality. In the case of high-value, cellared wines, AurDvin will only select a successor vintage if the customer has granted appropriate authorisation.
6. TRANSPORT DAMAGE AND BREAKAGE
6.1 Inspection upon Receipt
The customer must inspect the goods immediately upon receipt. Visible transport damage or breakage should, where possible, be noted upon delivery with the carrier and confirmed in writing.
6.2 Notification Period
Visible transport damage, breakage or shortfalls must be reported to AurDvin within 48 hours of delivery, accompanied by photographic documentation of the damage and the packaging, to the contact address below. Concealed damage must be reported in the same manner without delay upon discovery.
6.3 Remedy
In the case of damage or breakage reported properly within the notification period, AurDvin will, at its discretion, provide free replacement of the affected goods or refund the corresponding amount. Claims notified after expiry of this period or without adequate documentation may be rejected.
7. RIGHT OF RETURN (VOLUNTARY GOODWILL)
7.1 No Statutory Right of Withdrawal
Under Swiss law, there is no statutory right of withdrawal or return for distance contracts in respect of orders placed by the customer in the online shop (in particular, there is no doorstep transaction within the meaning of Art. 40a et seq. CO). The following right of return is granted by AurDvin voluntarily and as a goodwill gesture; the statutory warranty rights (section 11) remain unaffected.
7.2 Return Period
As a goodwill gesture, the customer may return non-consumable accessories (such as wine pourers, champagne stoppers and similar items) within 14 days of delivery, provided they are unused and in the original, undamaged packaging. The right of return does not apply to alcoholic beverages, foodstuffs, opened items, or perishable or temperature-sensitive goods.
7.3 Exercise of the Right of Return

7.4 Return Shipping Costs
The costs of return shipping are borne by the customer.
7.5 Refund
Upon receipt and inspection of the returned goods, any payment already made for those goods will be refunded promptly. AurDvin may deduct or charge separately for any damage, excessive wear or agreed delivery costs. AurDvin may withhold the refund until the goods have been returned or the customer has provided proof of dispatch, whichever is the earlier.
8. VOUCHERS AND GIFT CARDS
Vouchers and gift cards issued by AurDvin are valid for the period stated on them or, in the absence of such a statement, for the period provided for by law. They cannot be redeemed for cash, are not redeemable in cash in whole or in part, and may be made subject to a minimum order value. Multiple vouchers cannot be combined unless expressly permitted. AurDvin accepts no liability for lost or stolen vouchers.
9. SATISFACTION GUARANTEE
9.1 Voluntary Additional Service
The satisfaction guarantee set out below is a voluntary additional service provided by AurDvin. It does not restrict the customer's statutory warranty rights in the event of an actual defect (section 11).
9.2 Wine Guarantee
Any wine that is not more than 10 years old and that does not meet your expectations will be taken back without objection upon presentation of the receipt. We will provide free replacement, provided the wine is available at AurDvin. A cash refund up to the purchase price is made only if no replacement can be provided and may, at AurDvin's discretion, be issued as an AurDvin gift card. The guarantee applies exclusively to wine and not to spirits.
9.3 Scope and Exclusions
The satisfaction guarantee applies per customer or household for a reasonable, household quantity. AurDvin may refuse to honour the guarantee in cases of obvious abuse or commercial resale. The guarantee does not apply to business customers (B2B) and does not apply to wines purchased at a price of CHF 150.00 or more per bottle.
10. NATURAL PRODUCT
Wine is a natural product. Minor variations between bottles and vintages in colour, aroma and flavour, as well as the formation of natural sediment (deposit), are typical of the product and do not constitute a defect. In the case of a genuinely faulty bottle (e.g. cork taint / "corked" wine), AurDvin will provide replacement or a refund, provided the affected bottle and, where possible, the cork are returned or documented within a reasonable period. For older and cellared wines, a slightly lower fill level attributable to age is natural and does not constitute a defect. Where such wines show a significantly lower fill level, AurDvin will inform the customer prior to delivery (with a photograph where possible) and leave the decision on whether to proceed with the purchase to the customer.
11. WARRANTY AND NOTICE OF DEFECTS
11.1 Notice of Defects
The customer must inspect the goods immediately upon receipt. Defects must be reported without delay upon discovery and in any event within 8 days of delivery (Art. 201 CO). In the case of perishable consumables (in particular wine), recognisable defects must be notified immediately upon receipt.
11.2 Mandatory Consumer Rights
The mandatory warranty rights of the consumer, in particular the two-year limitation period under Art. 210 CO, which may not be shortened as against consumers, are reserved in all circumstances. The notification obligation pursuant to section 11.1 does not shorten this period as against consumers.
11.3 B2B Special Rule on Warranty
As regards business customers: the warranty period is shortened to twelve (12) months from delivery (Art. 210 para. 4 CO). Obvious defects must be notified in writing within two (2) working days of receipt and latent defects immediately upon discovery. If timely notification is not given, the goods are deemed to have been approved (Art. 201 CO). In the case of defects, AurDvin is entitled to remedy or replacement delivery; any further claims are governed by section 12. This exclusion or shortening does not apply to defects fraudulently concealed by AurDvin (Art. 199 / Art. 210 para. 6 CO).
12. LIABILITY
12.1 Nature of Obligations
In respect of the supply of goods, AurDvin owes delivery of goods free from defects. In respect of advisory and event services (e.g. tastings), AurDvin owes diligent effort and not the achievement of a specific result.
12.2 Exclusion of Liability
To the extent permitted by law, all liability of AurDvin in connection with its offering (including incorrect images, texts and prices) and delivery is excluded, in particular for slight negligence and for indirect loss and consequential loss. Mandatory liability remains unaffected: no provision of these GTC excludes or limits liability for personal injury (death or bodily harm), for wilful misconduct or gross negligence (Art. 100 CO), or for any liability that cannot be excluded under mandatory Swiss law, including liability under the Product Liability Act (PrHG).
12.3 B2B Special Rule on Limitation of Liability
As regards business customers, AurDvin's liability — to the extent not contrary to mandatory law — is limited to the order value of the affected order. Liability for loss of profit, business interruption and other pure financial loss and consequential loss is excluded. Expressly unaffected by and excluded from this limitation are liability for personal injury, for wilful misconduct and gross negligence (Art. 100 CO), and liability under the Product Liability Act (PrHG).
13. FORCE MAJEURE
AurDvin is not liable for delays or non-performance of services resulting from circumstances outside its reasonable control (force majeure), in particular natural events, crop failure, epidemics or pandemics, official measures, energy or transport failures, and strikes. The obligations to perform are suspended for the duration and to the extent of the event. If the event persists for more than 60 days, either party may withdraw from the affected part of the contract without any claim for damages arising thereby; payments already made for services not rendered will be refunded (Art. 119 CO).
14. INTELLECTUAL PROPERTY
14.1 Copyright
The layout of the website, the graphics and images used, the compilation of articles and individual articles are protected by copyright. Reproduction or use without the express permission of AurDvin is not permitted. All rights are reserved to the company.
15. DATA PROTECTION
15.1 Personal Data
AurDvin processes personal data in accordance with the revised Federal Act on Data Protection (revFADP/revDSG), in force since 1 September 2023, and other applicable data protection law. Details of the processing of personal data are set out in our Privacy Policy, which forms an integral part of these GTC.
15.2 Creditworthiness Check
When purchasing on account, AurDvin (or service providers commissioned by it) carries out a creditworthiness and credit assessment. For this purpose, the personal data required for identification is disclosed to CRIF AG, Riesbachstrasse 61, 8008 Zürich, Switzerland, from whom creditworthiness information is obtained. The purpose (assessment of creditworthiness for purchases on account), the categories of data, the retention period and the customer's rights (access, rectification) are set out in our Privacy Policy in accordance with Art. 19 revFADP/revDSG.
16. EVENTS AND TASTINGS
16.1 Registration
Registration for an event may be made online, by e-mail or verbally by telephone and is binding (contract concluded at the time of registration).
16.2 Costs
Depending on the choice of region, partner company and wine, price differences may arise. The price stated in the specific offer is decisive.
16.3 Cancellation by the Customer
Up to two days before the start of the event, the event costs are refunded less a processing fee. In the case of later withdrawal (one day before the event or on the day of the event itself), AurDvin is entitled to charge the full event price as liquidated damages. The customer remains free to prove that AurDvin suffered no loss or lesser loss; judicial reduction of an excessive compensation remains reserved (Art. 163 para. 3 CO).
16.4 Cancellation by AurDvin
AurDvin reserves the right to cancel an event, for example due to insufficient numbers of participants, illness of the event presenter or supply problems with wines. In such cases, the participant is primarily entitled to an alternative event; if no equivalent alternative can be offered, the costs will be refunded.
16.5 Liability at Events
Event participants are liable for all damage caused by them to the property of AurDvin and third parties during the event. Participation in events is otherwise at the participant's own risk; to the extent permitted by law, no liability is accepted for damage to or loss of participants' property. Unaffected by this remains AurDvin's mandatory liability for personal injury (death or bodily harm) and for wilful misconduct and gross negligence (Art. 100 CO); this is not excluded or limited by the foregoing exclusion of liability. The minimum age requirements (section 4) also apply at events; proof of age may be requested on site.
17. FOOD INFORMATION
Mandatory food law information (description, alcohol content in percentage by volume, allergens including sulphites, origin, lot and best-before date information) is provided in accordance with the Foodstuffs Act (LMG) and its ordinances on the respective product pages prior to conclusion of the contract. For food safety reasons, opened or improperly stored foodstuffs and wines cannot be taken back or placed back into circulation; the satisfaction guarantee (section 9) remains unaffected.
18. MINIMUM ORDER QUANTITIES
There is no obligation to purchase minimum quantities unless expressly agreed otherwise in writing.
19. NOTICES AND COMMUNICATIONS
19.1 Official Notices
Official notices are published in the Swiss Official Gazette of Commerce (SOGC).
19.2 Notices to Shareholders
Notices to shareholders or members of the company are sent by registered post to the addresses recorded in the share register.
19.3 Notices to Customers
Notices to customers are sent by e-mail to the stated address or by registered post to the stated postal address.
20. GOVERNING LANGUAGE AND EVIDENCE
20.1 Governing Language
These GTC may be made available in several languages. In the event of any discrepancy between the language versions, the German version is authoritative.
20.2 Evidence
The records stored electronically by AurDvin relating to the processing of orders are admissible as evidence of the content and time of an order and of contractual communications. The customer expressly retains the right to prove the contrary.
21. GOVERNING LAW AND JURISDICTION
21.1 Governing Law
All contractual relationships are governed exclusively by substantive Swiss law. The United Nations Convention on Contracts for the International Sale of Goods (CISG / Vienna Sales Convention) is expressly excluded.
21.2 Jurisdiction
For consumers, the mandatory place of jurisdiction applies in accordance with Art. 32 of the Swiss Civil Procedure Code (CPC); this cannot be waived in advance (Art. 35 CPC). B2B special rule: For all other customers (in particular commercial entities), the exclusive place of jurisdiction is the registered office of AurDvin GmbH in Zurich, to the extent permitted by law. For customers domiciled in Liechtenstein, the applicable jurisdictional rules (including the Lugano Convention) apply.
22. SEVERABILITY
If any provision of these GTC is or becomes invalid or unenforceable, the validity of the remaining provisions is not affected thereby. The invalid or unenforceable provision shall, to the extent permitted by law, be replaced by a valid and enforceable provision that comes as close as possible to the economic purpose of the invalid or unenforceable provision.
23. AMENDMENTS
23.1 Individual Contracts
AurDvin reserves the right to amend these GTC at any time. The version in force at the time of the order governs each individual contract; amended GTC are not imposed on contracts already concluded. The present version supersedes all previous versions of these GTC upon entry into force.
23.2 Ongoing Contractual Relationships (e.g. Wine Subscriptions)
In the case of ongoing contractual relationships, AurDvin will notify the customer of amendments to these GTC in text form at least 30 days before they enter into force, expressly drawing attention to the significance of silence. If the customer does not object within this period, the amended GTC are deemed to have been approved. In the event of an objection or a material amendment, the customer has the right to terminate the contract with special notice effective as of the date on which the amendment enters into force.
24. SUBSCRIPTIONS AND PRE-ORDERS
Supplementary and preferential terms in the form of AurDvin's special subscription and pre-order conditions apply to wine subscriptions and pre-orders (e.g. en primeur / forward purchase orders). These govern in particular the formation of contract, advance payment, passing of title and risk, supplier and import risk, as well as termination and suspension. In the event of any conflict, the special conditions take precedence over these general GTC.
